Max Schrems takes on Facebook and launches a privacy revolution

The story begins with an ordinary Facebook user who became an extraordinary privacy activist. Max Schrems created his Facebook account in 2008 while studying law in Vienna. In 2011, he requested his complete data file from Facebook Ireland under Austrian law and received a 1,200-page PDF revealing the extent of data collection and retention. This discovery launched his career as a privacy advocate and established the groundbreaking Europe-versus-Facebook initiative.

By June 2013, Schrems had learned through Snowden's revelations that the NSA operated PRISM, a surveillance program requiring US companies including Facebook to provide communications matching specific selectors like email addresses. The program enabled downstream collection directly from company servers and upstream collection from internet backbone infrastructure. The CJEU's judgment dismantles Safe Harbor on constitutional grounds

The Court of Justice issued its judgment on October 6, 2015, in a Grand Chamber decision that addressed both the powers of supervisory authorities and the validity of the Safe Harbor framework. The 15-judge panel, led by President Václav Skouris with Judge Thomas von Danwitz as rapporteur, delivered a judgment that privacy advocates called revolutionary and that businesses found deeply disruptive.

The court structured its reasoning in two parts. First, it addressed whether national supervisory authorities retained power to investigate complaints when a Commission adequacy decision existed. The CJEU held unequivocally that Commission decisions "cannot prevent" persons from lodging complaints and "cannot eliminate or reduce" supervisory authority powers granted by Article 8(3) of the Charter and Article 28 of the Data Protection Directive. Even with an adequacy decision in place, authorities must examine complaints "with complete independence." The court reasoned that the Charter and Directive established these authorities precisely to strengthen protection of individuals, and eliminating their oversight would deny persons the right to lodge claims under the Charter. While only the CJEU itself can declare EU acts invalid under the Foto-Frost doctrine, national authorities must examine complaints with due diligence and can engage legal proceedings enabling national courts to refer preliminary rulings on validity.

This first holding empowered data protection authorities and individuals throughout Europe, establishing that Commission decisions—no matter how politically negotiated—could be challenged through complaints to national authorities. The second part of the judgment examined Safe Harbor's validity. Here the CJEU established standards that would prove impossible to satisfy through administrative fixes alone. Given the importance of personal data protection and large numbers of persons affected, the Commission's discretion is "reduced" and review should be "strict."

Applying these standards, the CJEU found Safe Harbor fundamentally deficient. The Safe Harbor Principles applied only to self-certified US organizations through a voluntary framework enforced primarily by the Federal Trade Commission. Critically, US public authorities were not subject to Safe Harbor protections. The fourth paragraph of Annex I allowed limitations for "national security, public interest, or law enforcement requirements" and by statute or regulation creating "conflicting obligations or explicit authorizations." This gave primacy to US national security requirements over Safe Harbor principles, enabling companies to disregard protective rules "without limitation" where they conflicted with such requirements.

The court found this created generalized interference with fundamental rights without adequate limitations or safeguards. There was no finding that US rules limited interference when pursuing legitimate objectives like national security. At paragraph 94, the CJEU delivered its most consequential holding: "Legislation permitting the public authorities to have access on a generalised basis to the content of electronic communications must be regarded as compromising the essence of the fundamental right to respect for private life" as guaranteed by Article 7 of the Charter. This wasn't merely a proportionality violation—it compromised the very essence of the right itself, representing an absolute limit on permissible limitations.

The judgment also found that legislation not limited to what is "strictly necessary"—such as legislation authorizing storage of all personal data on a generalized basis without differentiation, limitation, or exception—violates the proportionality principle. Mass, undifferentiated surveillance programs like PRISM failed this test categorically. Additionally, legislation not providing possibility to pursue legal remedies to access, rectify, or erase data "compromises the essence" of effective judicial protection under Article 47 of the Charter, which is "inherent in the existence of the rule of law."

The Commission had itself acknowledged these problems in communications from November 2013 following Snowden's revelations. The Commission stated that US authorities could access personal data transferred from the EU and process it "in a way incompatible with the purposes for which it was transferred" and "beyond what was strictly necessary and proportionate" for national security. Data subjects had "no administrative or judicial means of redress." Despite recognizing these fundamental flaws, the Commission had maintained Safe Harbor's validity.

The CJEU concluded that the Commission never stated that the US "in fact ensures" adequate protection by reason of domestic law or international commitments. Article 1 of Decision 2000/520 therefore failed to comply with Article 25(6) requirements and was invalid. Article 3, which restricted supervisory authority powers, exceeded the Commission's implementing authority and was also invalid. Because these articles were inseparable from the remaining provisions, the CJEU declared Decision 2000/520 invalid in its entirety, effective immediately.

Safe Harbor's fatal flaws: Why a self-certification scheme couldn't protect against surveillance

To understand why the CJEU invalidated Safe Harbor so decisively, we must examine how the framework actually operated and why it proved structurally incapable of protecting against government surveillance. Safe Harbor emerged from negotiations between the European Union and United States following adoption of the EU Data Protection Directive 95/46/EC in 1995. The Directive required that personal data transferred to third countries only occur if the destination ensured "adequate" protection. The US and EU approached privacy fundamentally differently—the EU through comprehensive legislation treating privacy as a fundamental right, the US through sectoral laws and self-regulation.

Commission Decision 2000/520, adopted July 26, 2000, attempted to bridge this gap through a self-certification mechanism. US companies could voluntarily certify compliance with seven privacy principles: Notice, Choice, Onward Transfer, Security, Data Integrity, Access, and Enforcement. Companies paid annual fees of $100-200 to the Department of Commerce to maintain certification. The Federal Trade Commission could enforce commitments as unfair or deceptive trade practices under Section 5 of the FTC Act. By 2015, over 4,500 companies participated, making Safe Harbor the primary legal basis for transatlantic data flows supporting a $7.1 trillion economic relationship.

The CJEU identified three categories of fatal flaws. First, Safe Harbor suffered from inadequate scope and application. While principles applied to self-certified commercial organizations, they created no obligations for US public authorities. National security, public interest, and law enforcement requirements explicitly prevailed over Safe Harbor principles. The Commission examined the Safe Harbor scheme itself without adequately assessing US domestic law and practices regarding government access to data. This meant the framework provided contractual protections between companies while remaining silent on the primary threat identified by Schrems—mass government surveillance.

Second, Safe Harbor failed to meet EU standards for limitations on fundamental rights. The CJEU established that any interference with privacy rights requires "clear and precise rules" with "minimum safeguards" and sufficient guarantees against abuse. Derogations must apply only "in so far as strictly necessary." Section 702 of FISA authorized surveillance broadly defined to include not just terrorism but "foreign affairs" and "national defense"—purposes far exceeding strict necessity. The legislation made no differentiation, limitation, or exception in light of objectives pursued and provided no objective criteria for determining limits on public authorities' access to data. Executive Order 12333, governing intelligence activities outside US territory, operated with even less constraint—no judicial oversight, limited congressional oversight, and permitting bulk collection of communications.

The CJEU found that legislation permitting generalized access on this scale "compromises the essence" of privacy rights. This is a higher threshold than mere proportionality violation. When a measure compromises the essence of a fundamental right, it is automatically disproportionate without need for balancing tests. The court essentially ruled that mass, indiscriminate surveillance is categorically incompatible with EU fundamental rights regardless of stated security purposes.

Third, Safe Harbor provided no effective judicial remedies. EU citizens lacked standing to challenge surveillance in US courts, faced state secrets privilege that could block cases entirely, had no notification when surveilled (making challenges impossible), and encountered no independent ombudsperson mechanism. The FTC and private dispute resolution mechanisms addressed only commercial disputes between companies, not legality of state interference. The Foreign Intelligence Surveillance Court provided no remedy for individuals and operated in secret. Presidential Policy Directive 28, issued in 2014 to extend some protections to non-US persons, was merely aspirational without enforceable standards.

Article 3 of the Safe Harbor Decision compounded these problems by impermissibly restricting supervisory authorities' powers to investigate and suspend transfers even when adequacy was challenged. The Commission exceeded its implementing authority by preventing authorities from exercising powers granted directly by the Treaty through Article 8(3) of the Charter.

Advocate General Yves Bot's opinion, delivered September 23, 2015, recommended invalidation on substantially the same grounds. He emphasized at paragraphs 198-200 that "mass, indiscriminate surveillance is inherently disproportionate" because US intelligence access covered all persons and all communications without differentiation. Neither the FTC nor FISC provided effective remedies for EU citizens, and Safe Harbor's derogations were too general and imprecise to satisfy Charter requirements.

The fundamental problem was structural: Safe Harbor attempted to use contractual commitments between private parties to solve a public law problem—unconstrained government surveillance authority. No amount of corporate self-certification or FTC enforcement could address intelligence agencies operating under statutory authorities that explicitly prioritized national security over privacy protections. The conflict wasn't between European and American values in the abstract, but between the EU constitutional framework treating privacy as a fundamental right and the US statutory framework authorizing foreign intelligence surveillance of non-citizens without meaningful limitations.

From crisis to Privacy Shield: The immediate aftermath and rush to negotiate

The immediate impact of Schrems I was chaotic. On October 6, 2015, the moment the judgment was published, over 4,500 certified companies lost their primary legal basis for data transfers. The CJEU provided no grace period, leaving organizations scrambling to identify alternative mechanisms. Major IT companies began immediately circulating addenda with Standard Contractual Clauses to customers. Legal departments conducted urgent Privacy Impact Assessments to map data flows. Smaller companies particularly struggled with resource constraints while facing potential penalties of up to €20 million or 4% of global turnover.

The Article 29 Working Party—the body coordinating EU data protection authorities before the GDPR—issued a statement on October 16, 2015, confirming that Safe Harbor invalidation was effective immediately with no grace period. Hamburg stated it would not object to EU Model Clauses pending evaluation. Schleswig-Holstein took the strictest interpretation, declaring that transfers using SCCs were no longer permitted when destination countries like the US didn't ensure adequate protection. The German DPAs' Düsseldorfer Kreis issued a position paper on October 26, 2015, taking a stricter stance than even the CJEU judgment required, emphasizing that SCCs could not protect against government surveillance authorized by law.

The European Commission and US government immediately began negotiations to replace Safe Harbor. The Commission stressed the economic importance of the transatlantic relationship while acknowledging fundamental rights concerns. US Secretary of Commerce and State Department officials expressed disappointment with the ruling while committing to negotiation. On February 2, 2016—less than four months after Schrems I—the EU and US announced political agreement on a new framework: the EU-US Privacy Shield.

The negotiation speed reflected both economic pressure and political will to restore data flows quickly. However, the rush also meant that Privacy Shield addressed Schrems I's concerns primarily through administrative improvements rather than substantive US law reform. Section 702 of FISA and Executive Order 12333 remained unchanged. Privacy Shield added new elements: written assurances from the US Director of National Intelligence about limitations on surveillance, implementation of Presidential Policy Directive 28 extending some protections to non-US persons, and creation of an Ombudsperson mechanism within the State Department to handle complaints from EU citizens.

The Article 29 Working Party issued Opinion 01/2016 on April 13, 2016, reviewing Privacy Shield before formal adoption. While the Working Party welcomed "major improvements" over Safe Harbor, it identified "strong concerns" on commercial aspects and government access. The opinion questioned whether "massive and indiscriminate collection" of data was excluded under the new framework and expressed concern about whether the Ombudsperson possessed sufficient independence and binding power. These concerns proved prescient.

The European Commission formally adopted Privacy Shield on July 12, 2016, through Implementing Decision 2016/1250. The decision entered force the same day. By 2020, over 5,300 companies had certified under the framework, restoring the primary channel for EU-US data transfers. But Max Schrems had already reformulated his complaint on December 1, 2015, challenging Facebook Ireland's use of Standard Contractual Clauses for transfers to the United States. He argued that SCCs—like Safe Harbor—could not protect against US surveillance programs operating under unchanged legal authorities.

This complaint would eventually reach the CJEU as Case C-311/18, leading to the July 16, 2020 Schrems II judgment that invalidated Privacy Shield on substantially the same grounds as Safe Harbor.

How Schrems I shaped the GDPR you comply with today

The timing of Schrems I proved crucial for the General Data Protection Regulation. The GDPR had been proposed by the European Commission on January 25, 2012. The European Parliament adopted proposed amendments on March 12, 2014, voting 621 in favor with only 10 against. But Schrems I was decided on October 6, 2015, during final Trilogue negotiations before the formal agreement reached on December 15, 2015. This meant principles established in Schrems I could be incorporated into the GDPR's final text before adoption on April 14, 2016.

The influence is most visible in Chapter V of the GDPR, Articles 44-49, governing transfers of personal data to third countries. Article 45 establishes the framework for adequacy decisions, and paragraph 45(2) sets out assessment criteria that directly reflect Schrems I principles. When determining adequacy, the Commission must consider rule of law and respect for human rights, relevant legislation including public security and national security laws, access by public authorities to personal data, effective independent supervision, effective and enforceable rights, and effective administrative and judicial redress. This focus on government surveillance, oversight mechanisms, and remedies comes straight from the CJEU's reasoning.

The GDPR elevated the standard from "adequate" to "essentially equivalent" protection—the precise language from paragraph 73 of Schrems I. Article 45(3) requires that adequacy decisions include periodic review mechanisms with formal review at least every four years. This requirement was strengthened in response to Schrems I's demonstration that adequacy assessments become outdated as surveillance practices and legal frameworks change. The Commission must monitor ongoing developments under Article 45(4) and can revoke or amend decisions if protection is no longer ensured under Article 45(5).

Article 46 addresses transfers subject to appropriate safeguards when no adequacy decision exists. The article lists mechanisms including Standard Contractual Clauses, Binding Corporate Rules, approved codes of conduct, and certification mechanisms. While SCCs existed under the prior Directive, the GDPR framework anticipated the enhanced scrutiny that Schrems II would later require. The 2021 modernization of SCCs, adopted after Schrems II, incorporated requirements for Transfer Impact Assessments and supplementary measures—concepts rooted in the essential equivalence standard Schrems I established.

Article 47 provides detailed requirements for Binding Corporate Rules, including acceptance of liability for breaches, complaint procedures, and cooperation with supervisory authorities. These provisions reflect the principle that transfer mechanisms must provide effective protection and remedies, not merely contractual commitments that might be overridden by government surveillance laws.

Article 49 addresses derogations for specific situations where neither adequacy decisions nor appropriate safeguards exist. The article permits transfers based on explicit consent, contract performance, legal claims, vital interests, public registers, and—most restrictively—compelling legitimate interests. Recitals 111-115 emphasize that derogations must be interpreted restrictively and used only for occasional, non-repetitive transfers. This restrictive approach reflects Schrems I's principle that fundamental rights cannot be compromised for commercial convenience.

Beyond specific articles, Schrems I influenced the GDPR's overall architecture. Articles 57-58 grant supervisory authorities extensive investigative and corrective powers, explicitly including power to suspend data flows and order erasure. These provisions codify the Schrems I holding that authorities must retain complete independence to investigate complaints regardless of Commission decisions. The GDPR's accountability principle in Article 5(2), requiring controllers to demonstrate compliance, reflects recognition that international transfers require ongoing assessment rather than one-time authorization.

The consistency mechanism in Articles 63-67, requiring cooperation among supervisory authorities through the European Data Protection Board, helps ensure uniform application of transfer requirements. This was particularly important after Schrems I demonstrated that individual authorities might take varying approaches to enforcement. The EDPB has issued critical guidance on supplementary measures (Recommendations 01/2020) and European Essential Guarantees for surveillance (Recommendations 02/2020) that operationalize Schrems I principles.

Perhaps most significantly, Schrems I established data protection as a fundamental right that cannot be subordinated to economic or commercial interests. This principle permeates the GDPR, from the opening recitals emphasizing fundamental rights to the high penalties for violations (up to 4% of global annual turnover) that make compliance economically rational. The GDPR entered force on May 25, 2018, creating the legal framework within which Schrems II and all subsequent transfer cases would be decided.

When the CJEU issued the Schrems II judgment on July 16, 2020, invalidating Privacy Shield, it applied the essential equivalence standard and surveillance scrutiny that Schrems I established and the GDPR codified. Standard Contractual Clauses were upheld but with requirements for case-by-case assessments, Transfer Impact Assessments, and supplementary measures—all flowing from the principle that contractual commitments alone cannot override government surveillance authorities.

What companies must actually do: Practical compliance in the post-Schrems era

Nearly a decade after Schrems I and approaching five years since Schrems II, the practical implications for companies remain demanding. The third attempt at an adequacy framework—the EU-US Data Privacy Framework adopted July 10, 2023—faces expected legal challenges with privacy advocates predicting "Schrems III." Organizations cannot simply rely on the newest adequacy decision but must implement robust compliance strategies anticipating potential invalidation.

The foundation is comprehensive data mapping. Organizations must identify all personal data transfers to third countries, including transfers to cloud providers, analytics platforms, marketing tools, customer relationship management systems, and any service where data might be accessed from outside the EU. Remote access by US personnel to EU-stored data constitutes a transfer requiring assessment. This includes IT support staff accessing systems, third-party administrators accessing cloud databases, and vendors providing technical assistance. Onward transfers through sub-processors must also be mapped, as controllers remain responsible even when processors engage additional parties.

For each identified transfer, organizations must determine the legal basis. Transfers to US companies certified under the Data Privacy Framework can rely on that adequacy decision, though prudent organizations maintain contingency plans given litigation risk. Transfers to countries without adequacy decisions require appropriate safeguards under Article 46, most commonly Standard Contractual Clauses. Only in exceptional circumstances should organizations rely on derogations under Article 49, which must be interpreted restrictively for occasional, non-repetitive transfers.

When using SCCs, organizations face substantial additional obligations stemming from Schrems II. Step one is conducting a Transfer Impact Assessment examining the third country's laws and practices. For US transfers, this requires analyzing FISA Section 702 (authorizing surveillance of non-US persons for foreign intelligence purposes), the CLOUD Act (enabling US law enforcement to compel US companies to produce data stored abroad), and Executive Order 12333 (governing overseas intelligence activities with minimal oversight). The assessment must evaluate whether these laws would enable access to transferred data in ways that undermine the protection SCCs provide.

Step two is identifying and implementing supplementary measures when the TIA reveals that third country laws pose risks. The European Data Protection Board's Recommendations 01/2020 provide detailed guidance. Technical measures are most effective but often impossible to implement for common use cases. Encryption with keys retained in the EU or by the exporter can protect backup data but doesn't work when the US recipient needs cleartext access to provide services—the typical scenario for cloud providers, analytics platforms, and SaaS applications. The EDPB explicitly states it is "incapable of envisaging an effective technical measure" for cloud services requiring cleartext access where providers are subject to US surveillance laws.

Contractual and organizational measures can supplement but not replace technical protections. Enhanced contractual clauses can require transparency about government requests, obligate recipients to challenge requests in court, mandate notification to exporters when legally permitted, establish audit rights, and create warrant canary mechanisms. Organizational measures include privacy by design, staff training, access controls, and incident response procedures. While valuable for governance and due diligence, these measures cannot prevent intelligence agencies from accessing data under statutory authorities that override contractual commitments.

Step three is documenting everything. Organizations must maintain records of all transfers, executed SCCs, Transfer Impact Assessments with detailed analysis of third country laws, supplementary measures implemented, and regular reviews of changing circumstances. Supervisory authorities increasingly request this documentation in investigations. The Meta case resulted in a €1.2 billion fine in May 2023 partly because the company conducted systematic, repetitive transfers without demonstrating adequate supplementary measures despite years of regulatory dialogue.

Step four is continuous monitoring. Legal frameworks change—adequacy decisions can be invalidated, surveillance laws modified, case law evolved. Organizations must track these developments and reassess transfers when circumstances change. The GDPR requires reevaluation at least every four years for adequacy decisions, but prudent organizations review more frequently, particularly for high-risk or high-volume transfers.

For server-side tracking specifically—critical for websites and apps—organizations face particular challenges.
